| ANNOUNCEMENT BY BRIAN BRUCE GROUP CHIEF EXECUTIVE | |

Roy Andersen (55) holds the rank of Brigadier General and is Director Reserve Forces in the South African Army. He qualified as a Chartered Accountant in 1972 and in 1989 was appointed Executive Chairman of Ernst and Young. He was Executive President of the Johannesburg Stock Exchange from 1992 to 1997, where he was responsible for closure of the market floor and the introduction of electronic trading. He joined the Liberty Group in 1997 where he was appointed Deputy Chairman and Chief Executive Officer in 1999. |
| Roy decided to take a sabbatical from March 2003 and we are
fortunate to have secured his interest in a board appointment to Murray &
Roberts.
David Brink was appointed an executive director of Murray & Roberts in 1984 and became chief operating officer for a brief period before his appointment as chief executive in 1985. He was elected chairman in 1994 and following a period as chief executive of Sankorp, he returned to Murray & Roberts in 1998 as executive chairman and managing director. He became non-executive chairman on my appointment as chief executive in June 2000. |

I am also pleased to advise that Mr Martin Shaw will succeed Mr Peter
Joubert as chairman of the Audit and Risk Management Committee. Martin joined
the board in April 2003 as an independent director.
Peter Joubert joined the board as a non-executive director in 1993 and was appointed chairman of the audit committee in 1994. He will retire from the board in June 2004, having reached the mandatory retirement age. |
| The notification of our preliminary results for the year to 30
June 2003 included the announcement that Mr David Brink has given notice of his
intention to step down as our chairman from end-December 2003.
On behalf of the Board I am pleased to advise that Mr Roy Andersen has been elected to succeed Mr Brink as chairman with effect from 1 January 2004. Roy and Martin will spend the next few months gaining an intimate knowledge
of the people and business of Murray & Roberts. My executive colleagues and I
will accompany them on company and project visits during this period. Brian Bruce
